These Terms and Conditions (“T&Cs”) govern the collection, storage, processing, and use of data by Landslide Energy LTD (trading as RYE), as well as the use of all RYE products, services, and associated fees.

By proceeding to use Landslide Energy LTD’s products or services, you confirm that you have read and agreed to these T&Cs and authorise Landslide Energy LTD to act as a non-exclusive representative as defined in Section 4.

0.0 Background and Definitions

0.1 Nature of Service: Landslide Energy LTD acts as an independent Third-Party Intermediary (TPI) and utilities management platform. We are not an energy supplier. We provide market searches, bespoke tendering, and data analytics via a panel of selected partner electricity, gas, waste and water suppliers.

0.2 Client Definition: "Client" refers to the individual, business, or legal entity entering this agreement. Where a holding company contracts on behalf of a subsidiary, "Client" includes both the holding company and the recipient subsidiary.

0.3 Digital Letter of Authority (DLOA): The electronic authorisation granted by the Client serves as formal notice to Energy Suppliers of Landslide Energy LTD’s appointment as an agent for the client. This DLOA provides the agent with the authority to: request historical data, negotiate contract terms and request historical account data. This DLOA is non-binding, non-exclusive and does not constitute power of attorney or authority.

1. Data Management and Evidence Storage

1.1 Secure Evidence Storage: All evidence related to data processing and consent shall be retained in a secure facility. Records are locked to prevent unauthorised modification and are stored in encrypted databases.

1.2 Digital Signature Capture: All consent actions are timestamped. Evidence includes digital capture of metadata (IP address, browser user-agent, and unique session ID), which constitutes the Client's "Digital Signature" under the Electronic Communications Act 2000.

1.3 Data Retention: Data shall be retained for a period of three full calendar years from the date of collection for audit and regulatory compliance, unless a deletion request is submitted to privacy@rye.energy.

2. Purposes of Data Collection

Data is collected and shared to enable:

  • Bespoke Tendering: Sharing consumption data with suppliers to secure tailored contract offers.

  • Billing & Revenue Recovery: Identifying inaccuracies, managing disputes, and securing refunds/rebates.

  • Site Metering Capability Support: Managing meter upgrades, new connections, and "Change of Tenancy" (CoT) requests.

  • Energy Monitoring & Management: Real-time/historical usage tracking and cost-saving analytics.

3. Consent Withdrawal Process

3.1 Rights: Consent can be revoked at any time without affecting the legality of prior processing.

3.2 Method: Formal withdrawal requests must be sent to product@rye.energy.

3.3 Processing: Acknowledgement within 3 business days; final data termination/anonymisation finalised within 30 business days post-validation.

4. Authorisation & Appointments

4.1 Appointment of Agency: By accepting these T&Cs via digital onboarding or site-submission, the Client appoints Landslide Energy Ltd to act as its authorised representative. This digital acceptance constitutes a formal Letter of Authority (LOA).

4.2 Authorisation Scope: The Client explicitly authorises Landslide Energy Ltd to:

  1. Access current and historical account info, billing history, and pricing details.

  2. Access metering details from industry databases (e.g., ECOES, n3rgy, XoServe, Electralink).

  3. Submit site data to energy suppliers for formal bespoke pricing tenders.

  4. Appoint alternative meter operators, data collectors, or agents.

  5. On behalf of the client, manage "Change of Tenancy" (CoT) requests and resolve supplier disputes.

  6. On behalf of the client, validate energy invoices, adjust credits, and gain access to supplier portals.

4.3 Supplemental Documentation: While the Client’s digital acceptance constitutes a valid LOA, the Client acknowledges that certain Energy Suppliers may require a physically signed or company-headed version of the LOA for specific legacy workflows. The Client agrees to promptly provide a signed supplemental LOA upon request.

5. Zero Uplift and No-Commission Policy

5.1 Zero Uplift & No Commission Policy: Landslide Energy LTD does not charge or include a commission in the form of a unit rate uplift (p/kWh) to be paid by the client.

5.2 Non-binding, non-exclusive: Agreement to Terms & Conditions does not automatically establish a contract for paid services between Landslide Energy LTD and the client.

5.4 RYE Membership Fee:A client can explicitly request access to Landslide Energy LTD’s proprietary energy monitoring platform and management services by submitting a signed request. Once access is granted and once the site supply contract has started, a Software as a Service (SaaS) fee of £90 is payable monthly via direct debit.

5.4 Savings-based Guarantee: In instances where clients choose to pay for Landslide Energy LTD and Landslide Energy LTD utilities contract procurement does not generate savings of over £90 per month, access to RYE’s software product will be free for the client. 

6. Liability and Consumer Protection

6.1 Good Faith: Acts performed by Landslide Energy Ltd in good faith under this DLOA shall not give rise to liability against energy or water suppliers.

6.2 Ombudsman: Landslide Energy Ltd is a member of the Energy Ombudsman (Membership No: C35LAND02).

6.3 Limitation: Landslide Energy Ltd shall not be liable for indirect or consequential losses. Total liability is limited to the fees paid by the Client in the twelve (12) months preceding a claim.

7. Governing Law and Practical Matters

7.1 Jurisdiction: These T&Cs and the resulting DLOA are governed by the laws of England and Wales.

7.2 Amendments: We reserve the right to modify these Terms. Continued use of services following updates constitutes acceptance of the revised Terms.
